Grant: Non-exclusive, non-transferable license to use the Software for personal or internal business purposes.
Prohibited Actions:
Modifying, adapting, translating, or creating derivative works of the Software/Documentation.
Integrating with software other than via published Mintplex Labs interfaces.
Combining with open-source software in a way that forces source code disclosure, licensing of derivatives, or free redistribution of the Software.
Sublicensing, distributing, selling, leasing, renting, or using for service bureau/SaaS/ASP models.
Reverse engineering, decompiling, or disassembling the Software.
Removing, altering, or obscuring copyright/proprietary notices.
2. Content & Installation Responsibilities
User Duties: Ensure legality, accuracy, and compliance of uploaded Content. Obtain necessary licenses/consents.
Environment: Install Software in compliance with Certified System Requirements.
3. Intellectual Property & Feedback
Ownership: Mintplex Labs owns the Software, Documentation, and all related Intellectual Property Rights. User owns the Content.
Feedback License: Mintplex Labs has a worldwide, irrevocable, perpetual, royalty-free license to use and incorporate any feedback provided.
4. Disclaimers & Liability Limits
As-Is Provision: Software and Services are provided “AS IS” and “WITH ALL FAULTS” without warranties of any kind (merchantability, fitness for purpose, title, non-infringement).
Third-Party Products/AI Models: Mintplex Labs is not liable for failures, licensing, or compliance issues of integrated third-party products.
Sole Remedy: Uninstalling the Software and stopping use of the Services.
Damages Cap: Mintplex Labs is not liable for indirect, incidental, punitive, or consequential damages. Total aggregate liability is capped at $50.00.
5. Export Controls
Sanctions Compliance: Software must not be used, exported, or transferred to any Sanctioned Country or restricted party on government lists (e.g., OFAC Specially Designated Nationals List).
6. Indemnification
Obligation: Indemnify, defend, and hold harmless Mintplex Labs against damages, losses, and expenses (including attorneys’ fees) arising from:
Breach of these Terms.
Content submitted.
Violations of law or third-party rights.
